-Persons a director nominate to act in their absence- an alternate to the principal director.
-Can only be appointed with the agreement of many of the directors.
-Entitled to speak and participate in the deliberation & voting.
-Treated equally with the rest of the directors.
-Equally responsible with the principal director.
